The concept of Independent Directors was introduced as a voluntary mechanism in the US during 1950s with the belief that a board with some level of independence will introduce objectivity in decision making, add to the diversity and advisory capabilities of the Board and hence improve performance of the company. The forerunner of Independent Directors under the current corporate law in India can be seen in the recommendations made by the Kumara Mangalam Birla Committee (1999), Naresh Chandra Committee (2002), Narayana Murthy Committee (2003). Further to these proposals the term Independent Director was introduced for the first time in India when the Securities and Exchange Board of India (SEBI) incorporated Clause 49 of the Listing Agreement. the independent directors are required ensure that there is due diligence in theover all financial and executive decisions of the company they are associated with. As per provision under Companies Act, 2013 Independent directors have to act as watch dogs and protect the interests of minority shareholders as well as other stakeholders and ensure that the legal and regulatory norms are fulfilled. Independent Directors do not represent in the actual corporate decision-making. The position of the independent director is one most counterpoise position against the managerial domination of the corporate boards. But fact remains that the independent directors are not truly independent and issues such as promoters giving bribes to speed up corporate decisions ends up in poor board performance. Though digitalisation has helped the corporate to be transparent, being transparent remains in papers and fact remains that the promoters dominate the functioning of the corporates .

ABSTRACT The main objective of this project is to improve performance of the IC engine piston using coated a ceramic material. In this work, bonding layer is NiCrAl and ceramic based magnesium partially stabilized zirconium were plasma sprayed onto piston crowns and in order to minimize thermal stresses. Several samples were deposited with NiCrAl bonding layers prior to coating of mgzro3 for comparison purpose with the uncoated piston. The performance of the coating against high temperature was tested using a burner rig. The temperatures on the top of piston crown and piston underside were measured. Finally, the heat fluxes of all conditions of piston crown were calculated. In short, the mgzro3/NiCrAl coated piston crown experienced the least heat fluxes than the uncoated piston crowns and the coated piston crown, giving extra protection during combustion operation.

Fiber reinforced composites are finding wide spread use in naval applications in recent times. Traditionally marine propellers are made of manganese-aluminum-bronze (MAB) or nickel-aluminum-bronze (NAB) for high-yield strength, reliability, and affordability. This project concentrates on the performance test of a phosphor bronze metal which coated with CFRP (carbon fiber reinforced plastic) propeller. To validate the results, the bronze plate is prepared, coated with CFRB in a strict proportion .The corrosive resistance and hardness value of composite material were evaluated and compared with aluminium bronze propeller to found out the effectiveness. This report consists of brief details about Fiber Reinforced Plastic materials and the advantages of using composite propeller over the conventional metallic propeller.

Camshaft is one of the key parts or components in the engines of automobile and other vehicles. Due to the cyclic impact loading on the contacting surfaces of the cam and the follower, it often gives rise to premature wear of cam profile and affects a routine run of the valve gear such as the rotational speed, valve displacement and the torque. The objective of this work was to study experimentally the residual stresses at the surface layer of induction hardened cylindrical specimens. The diesel engine camshafts are generally made by EN19 Steel material. However, EN19 steel material has low wear resistance and its service life is shorter. ReplacingEN19 steel with EN41B steel. The results obtained from hardness test indicated that the hardness of the Nitride steel EN 41B is 31% higher than EN19 Steel before induction hardening and the hardness of the Nitride steel EN41B is 45% higher than EN19 steel after induction hardening. Impact test indicated that the toughness of Nitride steel EN41B is 38% higher than EN19 steel.

- Coarse-grained bronze-bonded diamond grinding wheels dressed using lasers and silicon carbide dressing wheels were used to grind YG8-cemented carbide work pieces. The wear patterns and grinding ratios of the laser-dressed grinding wheels were investigated after different grinding stages. After grinding, the laser-dressed grinding wheel displayed superior surface topography compared to the silicon carbide wheel, and the surface quality of the workpiece also improved.

-- This work presents an experimental and numerical study to investigate the enhancement techniques can be applied to flat-plate liquid solar collectors towards more compact and efficient designs. Tube-side passive techniques can be consisting of adding additional devices which are incorporated into a smooth round tube (V-cut twisted tapes), modifying the surface of a smooth tube (corrugated and dimpled tubes) or making special tube geometries (internally finned tubes). Based on previous studies from the authors, V-cut twisted tapes were selected for enhancing heat transfer. This type of inserted device provides better results in laminar, transitional and low turbulence fluid flow regimes.

Our aim is to increase the thermal conductivity of organic phase change material paraffin wax by adding additives .The thermal conductivity of paraffin wax can be enhanced by employing high conductivity materials such as alumina (Al2O3).An analysis has been carried out to study the performance and enhancement of paraffin wax with alumina (Al2O3) particles in capsules. Phase change materials (PCMs) with their phenomenal phase changing behaviour hold a key for many developments in renewable energy and engineering systems for sustainable future. PCM which can store and release heat energy over a temperature range has become an eminent candidate for many engineering applications that includes thermal, civil, electronics and textile.

We look into brief introduction of cryogenic treatment. Our focus throughout the report is more on cryogenic treatment of tool steel and high speed steel. In metal forming industry tools are exposed to very complex and rough surface conditions, which are the result of different effects (mechanical, thermal and chemical) and thus require well defined mechanical properties. Different approaches are followed to increase the surface properties of tool steels. The surface hardening treatments of steel has shown significant improvement of various properties including wear and fatigue resistance. Cryogenic treatment is yet another approach acknowledged by some to extend the tool life of many cutting tools. We will describe the complete procedure and investigate the effects on the metallurgical changes in the tool steel. However real mechanisms behind the better performance of tools are still in doubt. Studies in the given references on cryogenically treated tool steel shows micro structural changes in material that can influence the tool life. However little is gained from the experimental results showing involvement of carbide precipitations. Cryogenic treatments of carbides has yet to be extensively studied. In this paper drill bits are treated with cryogenic method and to predict the hardness, wear strength and other results are analysing.

In recent years, there has been a steadily increasing in the amount of solid wastes because of the increasing human population and urbanization. Solids are includes industrial waste, agricultural waste, forest waste and waste bio-products. Bio-energy has been produced total 10% participation of energy of global energy production, energy produced from the source of biomass: plants, animal, and organic waste.In some seed like Juliflora seed, Ziziphus Seed oil prepared and blended with together to produce the biodiesel and to check the performance of the biodiesel.The study also includes examination of physical and chemical properties such as pH value, viscosity, density, flash point, fire point and acid values on the produced biodiesel as well as on the conventional diesel for comparison. The study revealed that the properties of the bio-diesel are very close to the conventional diesel.
